2. Description of Services

SkillSeek OÜ operates a recruitment network platform that:

• Connects companies with specialized recruitment professionals across Europe
• Enables independent recruiters to access client opportunities
• Provides infrastructure and support for recruitment activities
• Facilitates placement services on a commission basis

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our services, you represent that you meet these requirements.

4. User Accounts and Registration

To access certain features, you may need to register for an account. You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. For Companies (Clients)

5.1 Service Agreement

Companies using our recruitment services agree to a separate Recruitment Services Agreement that details:

• Scope of recruitment services
• Fee structure and payment terms (milestone-based)
• Candidate selection and hiring process
• Replacement provisions

5.2 Payment Terms

Companies agree to pay recruitment fees according to the milestone structure:

• Milestone 1: Upon signing agreement (30-40% of total fee)
• Milestone 2: Upon candidate confirmation (30-40% of total fee)
• Milestone 3: 30 days after candidate start date (20-30% of total fee)

6. For Recruiters

6.1 Independent Contractor Relationship

Recruiters in our network are independent contractors, not employees. You maintain control over how and when you work, and are responsible for your own taxes and business expenses.

6.2 Commission Structure

Recruiters earn 50% commission on successful placements. Payments are made according to the milestone structure outlined in individual recruiter agreements.

6.3 Professional Conduct

Recruiters agree to:

• Conduct recruitment activities professionally and ethically
• Comply with all applicable employment and data protection laws
• Maintain confidentiality of client and candidate information
• Not engage in discriminatory practices
• Accurately represent candidates and job opportunities

7. Intellectual Property

All content on our website, including text, graphics, logos, and software, is owned by SkillSeek OÜ or its licensors and is protected by copyright and trademark laws. You may not copy, modify, or distribute our content without written permission.

8. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe on others' intellectual property rights
• Upload viruses or malicious code
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm others
• Impersonate another person or entity
• Collect user data without consent
• Circumvent our fee structure or policies

9. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Service "As Is"

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free service.

10.2 No Guarantee of Results

While we strive to facilitate successful placements, we cannot guarantee specific results, hiring timelines, or candidate performance.

10.3 Limitation of Liability

To the maximum extent permitted by law, SkillSeek OÜ shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services.

11. Indemnification

You agree to indemnify and hold harmless SkillSeek OÜ, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use our services immediately ceases.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Estonia, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms shall be resolved in the courts of Tallinn, Estonia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
