1. Acceptance of Terms

By accessing or using SkillSeek's website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. SkillSeek OÜ (registry code 16746587, VAT EE102679838) operates these services from Juhkentali 8, Tallinn 10132, Estonia.

2. Description of Services

SkillSeek OÜ operates a dual-sided recruitment platform that:

• Connects companies with specialized recruitment professionals across 27 EU countries
• Provides an umbrella recruitment platform enabling independent professionals to work as recruiters
• Provides legal, administrative, and operational infrastructure for recruitment activities
• Facilitates placement services on a commission basis

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our services, you represent that you meet these requirements.

4. User Accounts and Registration

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Notify us immediately of unauthorized access
• Accept responsibility for all activities under your account

5. For Companies (Clients)

5.1 Service Agreement

Companies using recruitment services agree to a separate Recruitment Services Agreement covering:

• Scope of recruitment services
• Fee structure and payment terms (milestone-based)
• Candidate selection and hiring process
• Replacement provisions

5.2 Payment Terms — Milestone Structure

• Milestone 1: Upon signing agreement (30-40% of total fee)
• Milestone 2: Upon candidate confirmation (30-40% of total fee)
• Milestone 3: 30 days after candidate start date (20-30% of total fee)

6. For Recruiters (Umbrella Recruitment Platform Members)

6.1 Independent Contractor Relationship

Recruiters in the SkillSeek network are independent contractors, not employees. Members maintain control over how and when they work, and are responsible for their own taxes and business expenses. SkillSeek provides the umbrella recruitment platform infrastructure.

6.2 Membership & Commission Structure

Membership costs €177 per year. Recruiters earn 50% commission on successful placements. Payments are made according to the milestone structure outlined in individual recruiter agreements. Commissions are paid within 5 business days of client payment via EU bank transfer.

6.3 Professional Conduct

• Conduct recruitment activities professionally and ethically
• Comply with all applicable employment and data protection laws
• Maintain confidentiality of client and candidate information
• Not engage in discriminatory practices
• Accurately represent candidates and job opportunities

7. Intellectual Property

All content on the SkillSeek website, including text, graphics, logos, and software, is owned by SkillSeek OÜ or its licensors and is protected by copyright and trademark laws.

8. Prohibited Conduct

• Violate applicable laws or regulations
• Infringe on intellectual property rights
• Upload viruses or malicious code
• Attempt unauthorized access to systems
• Harass, abuse, or harm others
• Circumvent fee structure or policies

9. Data Protection

Our collection and use of personal information is governed by our Privacy Policy, compliant with GDPR (EU Regulation 2016/679).

10. Disclaimers and Limitation of Liability

Services are provided "as is" without warranties of any kind. While we strive to facilitate successful placements, we cannot guarantee specific results, hiring timelines, or candidate performance. To the maximum extent permitted by law, SkillSeek OÜ shall not be liable for indirect, incidental, consequential, or punitive damages.

11. Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Tallinn, Estonia.
